Apex Vision AI LLC – Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between Apex Vision AI LLC (a Wyoming LLC, “we”/”us”) and you (“User”). They govern your access to and use of:

We are independent. Apex Vision AI is not endorsed by, affiliated with, or sponsored by any textbook publisher or LMS (McGraw Hill®, Pearson®, Cengage®, etc.). All third-party names/marks belong to their owners.

We may update these Terms or the Services at any time. Changes take effect when posted with a new “Last Revised” date. Continued use = acceptance of updates.

When using the Services, you agree to:

• Comply with all applicable laws (local/state/national/international).
• Respect IP rights—only upload/share content that:
  • you created;
  • is public domain; or
  • you’re legally permitted to use (fair-use excerpt, licensed, etc.).
• Honor third-party terms (honor codes, access restrictions of any site or institution).
• Use services ethically
• Avoid misuse—do not reverse-engineer, scrape, hack, or otherwise gain unauthorized access.

• Accurate info. Provide and maintain truthful, up-to-date account details.
• Credentials. Keep your password/API keys secret—you’re responsible for all activity.
• One account per person. Automated or shared accounts require our written consent.

1. Representations & Warranties. You warrant that any “User Content” (text, files, etc.) you submit does not infringe third-party rights or violate law.
2. License to Apex Vision AI. You grant us a worldwide, non-exclusive, royalty-free license to process your content solely to provide/improve the Services and to maintain aggregate usage stats.
3. No Retention of Prompts/Answers. We process prompts and answers transiently and delete them once delivered; we keep only minimal hashed telemetry (timestamps, subscription status).

Do not use the Services to:

• Violate laws, regulations, or third-party rights
• Share copyrighted test/quiz items without permission (beyond valid fair use)
• Harvest personal data without consent
• Interfere with other users’ access or degrade service performance
• Build or assist competing products or services
• Circumvent paywalls, CAPTCHAs, or access controls
• Reverse-engineer or extract our models

All software, designs, and trademarks supplied by us remain our (or our licensors’) property. No rights are granted except the limited licenses above.

Our tools supplement learning—they’re not answer keys. You’re fully responsible for complying with your institution’s academic-integrity rules. We may suspend/terminate accounts used for dishonesty.

We integrate with OpenAI®, Google Cloud™, Stripe®, and others (“TPS”). Those services are governed by their own terms; we’re not liable for any TPS outages or actions.

In compliance with 17 U.S.C. §512(c):

Submit DMCA notices with all §512(c)(3) elements. We’ll act promptly to remove infringing content and notify the user. Repeat infringers will be terminated.

Our total liability for any claim related to the Services shall not exceed the greater of (a) USD $500 or (b) the fees you paid in the past six months. We’re not liable for indirect, incidental, special, or consequential damages. Some jurisdictions limit such exclusions; ours apply to the maximum extent permitted.

You agree to indemnify and defend Apex Vision AI LLC (and its officers, directors, employees) against any losses, claims, or expenses (including attorneys’ fees) arising from your use of the Services, your content, or your breach of these Terms.

We maintain a tech E&O policy with cyber/media coverage (up to USD 5 million) for third-party IP or privacy claims, subject to policy terms.

Either party may terminate these Terms at any time. Upon termination:

• All licenses end.
• Your right to use the Services ceases.
• Sections 9–19 survive.

• Governing Law: Wyoming
• Informal Resolution: Email [email protected] within 30 days.
• Arbitration: Unresolved disputes go to binding arbitration (AAA Commercial Rules) in Sheridan, WY (or via video, if agreed).
• Class-Action Waiver: You and we both waive rights to class actions.
• Opt-Out: Send written notice within 30 days of first agreeing to these Terms if you wish to opt out.

These Terms (plus our Privacy Policy) are the full agreement. If any provision is unenforceable, the rest remain in force. Failure to enforce any term is not a waiver.

The Apex Vision AI mobile application (“App”) offers auto-renewable subscription plans through the Apple App Store. By subscribing, you agree to the following terms:

Subscription Plans

Exact pricing is displayed within the App and on the App Store product page. Prices may vary by region and are subject to change.

Billing & Renewal

• Payment is charged to your Apple ID account at the time of purchase confirmation.
• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period.
• Your account will be charged for renewal within 24 hours prior to the end of the current period at the same subscription rate.
• You may manage or cancel your subscription at any time after purchase by going to App Store → Apple ID → Subscriptions on your iOS device.

Cancellation

To cancel your subscription on iOS:

1. Open the App Store on your device
2. Tap your Apple ID (profile icon at the top right)
3. Tap Subscriptions
4. Select Apex Vision AI
5. Tap Cancel Subscription

Refunds

All subscription payments are processed by Apple. Refund requests must be submitted directly to Apple through their support portal: https://support.apple.com/en-us/HT204084

Access After Cancellation

If you cancel your subscription, you will retain access to premium features until the end of your current billing period. After that date, your account will revert to the free tier.
